Public Offer Agreement

This Public Offer Agreement (the “Agreement”) establishes the terms for using the ShareSpot internet service (the “Service”), enabling users to exchange parking spots. The Agreement is entered into by ShareSpot LLC (the “Provider”) and any individual who agrees to these terms (the “User”).
1. Definitions
1.1 Public Offer (the "Offer"): A public offer by the Provider, addressed to an indefinite number of individuals, to enter into this Agreement for using the ShareSpot Service.
1.2 ShareSpot Service: An online platform at https://sharespot.app/ua, allowing users to exchange parking spaces by mutual agreement, aimed at facilitating urban parking.
1.3 User: Any individual aged 18 or older who accesses the Service, accepts the Offer's terms, and engages in parking spot exchanges.
1.4 Provider: ShareSpot LLC (ID code 38212938), a legal entity under Ukrainian law, located at Ukraine, 01133, Kyiv, General Almazov St., 18/7.

2. Subject of the Agreement
2.1 The Provider grants the User access to the ShareSpot Service for parking spot exchanges, while the User agrees to comply with this Agreement.
2.2 The User accepts the Offer and concludes this Agreement by registering on the Service and agreeing to the Offer’s terms.

3. Arrangement of Parking Spot Exchanges
3.1 Users independently arrange parking spot exchange requests through the Service interface.
3.2 The Provider reserves the right to deny access to the Service if the User violates any terms of this Agreement.

4. Fees and Tariffs
4.1 The Provider may charge fees for parking spot exchanges, payable by the User as per the rates listed on the Service.
4.2 Payments are made by non-cash transfer to the Provider's account.

5. Rights and Obligations of the Parties
5.1 Provider’s Obligations:
Ensure the Service operates properly.
Maintain the confidentiality of User data.
5.2 User’s Obligations:
Adhere to Service rules.
Respect other users' rights.
Provide accurate registration information.

6. Liability
6.1 The Provider is not liable for damages resulting from improper use of the Service by the User.
6.2 In cases of force majeure (e.g., natural disasters, war, fires), the parties are released from liability for unfulfilled obligations under this Agreement.

7. Confidentiality and Data Protection
7.1 The Provider commits to protecting User personal data in accordance with Ukrainian law on data protection.
7.2 By registering, the User consents to the processing of their personal data as outlined in this Agreement.

8. Miscellaneous Provisions
8.1 This Agreement is governed by the laws of Ukraine and concluded within its territory.
8.2 All disputes will be resolved through negotiations. If unresolved, disputes shall be settled in court per Ukrainian legislation.
